3. Client Responsibilities Clients are expected to:

·       Provide accurate and complete information necessary for the provision of Services.

·       Cooperate with us in the performance of Services.

·       Ensure that all preconditions required for the provision of Services are fulfilled.

·       Comply with all applicable laws and regulations.

4. Fees and Payment Clients agree to pay the fees for Services as specified in the individual service agreements. Payment terms and schedules will be outlined in these agreements. Late payments may incur additional charges as specified in the service agreements.

5. Confidentiality We are committed to maintaining the confidentiality of all information provided by our clients. We will not disclose any confidential information without the client’s prior written consent, except as required by law.

6. Data Privacy and Security We understand the importance of protecting the data privacy and security of our clients. In the course of performing Services, we may have access to sensitive customer or business data. We will:

Clients acknowledge and agree that while we strive to mitigate risks and enhance security, we cannot guarantee absolute security against all potential threats. Therefore, clients agree to hold Philly Cyber Shield, LLC harmless from any claims, damages, or liabilities arising from any data breaches or security incidents, except to the extent that such incidents result from our gross negligence or willful misconduct.

7. Limitation of Liability To the fullest extent permitted by law, Philly Cyber Shield, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the provision of Services. Our total liability under this Agreement shall be limited to the fees paid by the client for the Services in the preceding 24 months.

8. Warranties and Disclaimers We will use reasonable efforts to provide the Services in accordance with industry standards. However, we do not guarantee that our Services will be error-free or completely secure. We disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination Either party may terminate the service agreement with 30 days’ written notice. In the event of termination, the client will pay for all Services rendered up to the effective date of termination. We reserve the right to terminate the agreement immediately if the client breaches any material term of the agreement.

10. Intellectual Property All intellectual property rights in the Services, including any reports, analyses, or other deliverables, are owned by Philly Cyber Shield, LLC. Clients are granted a limited, non-exclusive license to use the deliverables solely for their internal business purposes.

11. Governing Law These Terms and any service agreements shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions.

12. Changes to Terms We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our Website. You are advised to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.
